Harris Scarfe was placed into receivership in December, resulting in the closure of 21 stores across five states.
But the ongoing viability of its five Tasmanian stores meant they were among the 44 stores spared the axe.
MORE ON THE DEMISE OF HARRIS SCARFE:
Four companies were shortlisted and provided with trading records of Harris Scarfe before a final decision was made this week, granting exclusivity to Spotlight for the acquisition.
Receiver Vaughan Strawbridge said the ongoing trading of Harris Scarfe stores were dependent on the terms of the deal.
"There is still a lot of work we need to do together to finalise the transaction and we will be working with the Spotlight Group and the Harris Scarfe leadership team to make this happen," he said.
"We are hopeful all of the 44 stores will be retained under the sale but ultimately, this will be dependent on how the transaction progresses over the next couple of weeks."
In a statement, Deloitte - which is handling the receivership process - said Spotlight Group had a proven record of success in the Australian retail market.
"The Spotlight Group is a family-owned, longstanding and highly experienced Australasian retailer with a large property portfolio ideally suited to enabling future growth for Harris Scarfe employees and all stakeholders," the statement reads.
The deal is expected to be settled by mid-April.
