Mrs McBain stepped down as Bellamy's CEO on January 11, after the stock was suspended for five weeks following missteps in the key Chinese baby formula market. Mrs McBain was replaced by chief operating officer Andrew Cohen on an interim basis.
She will continue to remain employed by the company until March 31 to assist with "outstanding matters".
Mrs McBain's tenure has been at the centre of a stoush between the board and shareholder, Tasmanian entrepeneur Jan Cameron, who supported her remaining at helm of Bellamy's.
Ms Cameron is now leading a group of rebel shareholders to oust the four independent directors. Ms Cameron has put forward herself, along with three allies as replacement directors. A shareholder vote will be held on February 28.
